Energy project finance reference. This educational resource covers project investment and financing concepts. It is separate from Jaken Energy’s commercial electricity and natural gas procurement service; it is not a financing offer or a promise of funding.
Acquisition financing for operating energy assets
An operating project offers a performance history, but acquisition financing still depends on transferable rights and future cash flow. The purchase price is only one part of the capital requirement. Debt repayment, reserve replenishment, transaction costs and deferred maintenance can change the buyer’s equity need.
What to evaluate
Reconcile meter data, settlement statements and financial records. Check whether offtake, interconnection, site rights, warranties and operating permits survive a sale or require consent. Separate asset purchase and entity purchase implications with counsel.
Build a defensible comparison
The financing model should identify existing liens, change-of-control clauses, tax exposure and major capital work. Stress lower production and a period of transition. A seller forecast should remain distinct from the buyer’s independently supported underwriting.
Documents and questions to prepare
- Transfer and change-of-control consents
- Historic output and realized revenue
- Existing debt and maintenance backlog
- Sources and uses at closing
For commercial property owners
Start with the property’s actual accounts, lease responsibilities and plans for ownership or sale. Keep commodity procurement, building improvements and project investment as separate decisions. Include the costs you retain and the savings you retain after tenant reimbursement. An improvement that lowers a tenant-paid expense may benefit tenants without producing the same increase in owner income.
Prepare a base case and a downside case using dated evidence for costs, revenue and funding. Any financing rate, tax benefit or return is a project assumption until supported by current documents. Legal, tax, engineering and lender review should follow the actual transaction.
For the existing property’s supply-cost decision, use the contract-cost calculator or request a property energy review.
