Yieldco structures and distributable cash flow

A yieldco-style structure holds cash-generating assets and may distribute some available cash to investors. A distribution policy is a corporate decision, not a guarantee of income. Project contracts, debt, maintenance and reserve needs determine how much cash can reach the holding company.

What to evaluate

Reconcile project-level cash with holding-company expenses, taxes, debt payments and restricted reserves. Identify related-party acquisitions and how their prices are approved. A sponsor’s development pipeline is different from a binding commitment to deliver assets at an economically viable price.

Build a defensible comparison

Compare public and private structures using issuance costs, governance, reporting, investor liquidity and dilution. A traded security can still lose value or be difficult to exit in stressed conditions. Any distribution-growth or return forecast requires assumptions and current issuer disclosures.

Documents and questions to prepare

  • Project-to-holding-company cash waterfall
  • Distribution and reserve policies
  • Related-party acquisition controls
  • Debt, dilution and public reporting

For commercial property owners

Start with the property’s actual accounts, lease responsibilities and plans for ownership or sale. Keep commodity procurement, building improvements and project investment as separate decisions. Include the costs you retain and the savings you retain after tenant reimbursement. An improvement that lowers a tenant-paid expense may benefit tenants without producing the same increase in owner income.

Prepare a base case and a downside case using dated evidence for costs, revenue and funding. Any financing rate, tax benefit or return is a project assumption until supported by current documents. Legal, tax, engineering and lender review should follow the actual transaction.

For the existing property’s supply-cost decision, use the contract-cost calculator or request a property energy review.
